1.02 Termination of a Material Definitive Agreement.
As
previously disclosed, on April 1, 2025, American Battery Technology Company (the “Company”) entered into a Commercial/Investment
Property Purchase Agreement and Joint Escrow Instructions (the “Purchase Agreement”) with Steven Pokrajac and Corina Pokrajac
and/or their assigns to sell that certain property comprising approximately 12 acres located in Lyon County, Nevada, APN 021-071-50,
commonly known as 395 Logan Lane, Fernley, Nevada, along with improvements located thereon, for a total purchase price of $6.75 million.
On
July 28, 2025, the Purchase Agreement was terminated before the close of the buyer’s due diligence period, without material early
termination penalties.
The
Company continues to market the property for sale.
