Item 2.02 Results of Operations and Financial Condition.
On August 7, 2025, Synaptics Incorporated (the "Company") issued a press release announcing its financial results for the fiscal fourth quarter and full fiscal year ended June 28, 2025, and posted supplemental earnings materials to the investor section of the Company’s website at www.synaptics.com. A copy of the press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Item 8.01. Other Events.

Share Repurchase Program
On August 5, 2025, the Company's Board of Directors (the "Board") authorized a new share repurchase program to repurchase up to $150 million of the Company’s common stock, par value $0.001 per share (“Common Stock”). This program does not have an expiration date; however, the Board expects to periodically review the authorization to assess its continued appropriateness in light of the Company’s capital allocation priorities, market conditions, the Company’s balance sheet, expected free cash flow, alternative investment opportunities, and other factors.
Repurchases may be made from time to time through open market repurchases or through privately negotiated transactions, subject to market conditions, legal requirements and other relevant factors. Open market repurchases may be structured to occur within the pricing and volume requirements of Rule 10b-18 of the Exchange Act. The Company may also enter into Rule 10b5-1 trading plans to facilitate repurchases pursuant to this authorization. The actual number of shares repurchased, if any, and the timing of such repurchases will depend on various factors, including the Company’s cash balances, general business and market conditions, prevailing stock prices and the availability of alternative investment opportunities. This program does not obligate the Company to repurchase any particular amount of Common Stock and may be extended, modified, suspended or terminated at any time at the Company’s discretion.
The press release attached hereto and incorporated by reference as exhibit 99.1 includes the announcement of the share repurchase program.
