Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 31, 2025, the Board of Directors of Mettler-Toledo International Inc. (the "Company") appointed Pablo Perversi as a director of the Company, effective November 6, 2025, and determined Mr. Perversi qualifies as an "independent director" for purposes of the New York Stock Exchange listing standards. The Board of Directors has not yet determined on which Board committees, if any, Mr. Perversi will serve. In connection with the appointment, the Board of Directors resolved to increase its size from eight directors to nine directors, effective November 6, 2025.

Mr. Perversi’s compensation for his services as a director will be consistent with that of the Company's other independent directors, as described in the Company's definitive proxy statement filed with the Securities Exchange Commission on March 17, 2025. There are no arrangements or understandings between Mr. Perversi and any other persons pursuant to which Mr. Perversi was selected as a director, and there are no transactions in which Mr. Perversi has an interest requiring disclosure under Item 404(a) of Regulation S-K.
