Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 29, 2025, Scott Reed, the Chief Operating Officer of Commercial Vehicle Group, Inc., (the “Company”) informed the Company that he is resigning from the Company to pursue consulting opportunities, effective August 29, 2025.

On August 1, 2025, Ruth Gratzke, a Director since 2021, informed the Company that she is resigning from the Board of Directors of the Company (the “Board”) due to personal reasons, effective August 7, 2025.

Item 8.01 Other Events.

With Ms. Gratzke’s resignation from the Board, the Board is expected to reduce the size of the Board to a six-person Board.
